Affiliate Agreement

This Affiliate Agreement ("Agreement") governs the relationship between Clipher ("Company", "we", "us") and you ("Affiliate", "you") regarding your participation in the Clipher Affiliate Program. By joining the program, you agree to be bound by the terms set out below.

1. Program Overview

The Clipher Affiliate Program allows participants to earn commissions by referring new customers to Clipher. When a user makes a purchase using your unique referral link, you receive a commission on the net transaction value.

2. Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age.
• Have a valid crypto wallet address capable of receiving payouts.
• Provide accurate and complete registration information.
• Comply with all applicable laws and regulations in your jurisdiction.

3. Commission Structure

Affiliates earn a 40% commission on the net value of each qualifying Gem pack purchase made by a referred customer. Commissions are calculated after any applicable taxes, refunds, or chargebacks.

Commissions are credited to your affiliate balance upon confirmed payment. Clipher reserves the right to modify the commission rate with 30 days' notice.

4. Referral Tracking

Each affiliate is assigned a unique referral link. A referral is considered valid when a new user registers via your link and completes a purchase within 30 days of their first click. Only one affiliate may be credited per referred customer.

Cookie-based tracking is used with a 30-day attribution window. Clipher is not responsible for tracking failures caused by ad blockers, browser settings, or third-party tools used by the referred visitor.

5. Payouts

Payouts are processed in cryptocurrency (Bitcoin, USDT TRC-20, or Monero) to the wallet address provided in your affiliate profile. The minimum payout threshold is $100.00 USD. Payouts are processed within 5 business days of an approved request, and a maximum of one payout request per calendar month is permitted.

Clipher is not responsible for delays or losses caused by incorrect wallet addresses. You are solely responsible for providing and maintaining accurate payout details.

6. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of your affiliate account and forfeiture of pending commissions:

• Self-referrals or referring yourself through alternate accounts.
• Spamming, unsolicited emails, or misleading advertising.
• Bidding on Clipher branded keywords in paid search campaigns without prior written consent.
• Misrepresenting the Clipher platform, its features, or its pricing.
• Using fraudulent clicks, bots, or artificial traffic generation.
• Promoting Clipher on platforms that host illegal, harmful, or adult content.

7. Intellectual Property

Clipher grants you a non-exclusive, non-transferable, revocable licence to use Clipher's name, logo, and approved marketing materials solely for the purpose of promoting the Affiliate Program. You may not alter, modify, or create derivative works from any Clipher materials without written consent.

8. Term and Termination

This Agreement is effective upon your acceptance and continues until terminated. Either party may terminate this Agreement at any time with or without cause. Upon termination, any earned and unpaid commissions meeting the minimum payout threshold will be paid within 30 days, provided no fraud or policy violation is identified. Commissions below the threshold at termination are forfeited.

9. Disclaimer and Limitation of Liability

Clipher makes no warranties regarding the volume of traffic, commissions, or earnings you may achieve through the Affiliate Program. To the maximum extent permitted by law, Clipher shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the program.

10. Modifications

Clipher reserves the right to modify this Agreement at any time. Continued participation in the Affiliate Program following notice of changes constitutes acceptance of the revised terms. It is your responsibility to review the Agreement periodically.

11. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising from this Agreement shall be resolved through good-faith negotiation between the parties.
